Voting against the proposal does seem to be the best choice, for all the reasons you mentioned. Besides, if it is true that the properties were not collateral damage from the war but rather were sabotaged, we should not reward the Kal-Morians' shameful acts by allowing them autonomy over the guilds in question.
I still don't think we can trust the Combine anyway, so again, it would be prudent to bring the guilds and the assets under direct Confederate control.
